These Website Terms of Use ("Terms") govern your use of spiderservices.net, its subdomains, and our service status page at status.spider.services, together with any page that links to these Terms (together, the "Site"). The Site is operated by The Web Holding Services, LLC d/b/a The Spider Services and its wholly owned subsidiaries, Spider Computing Services, LLC; Spider Consulting Services, LLC; and Spider Security Services, LLC (together, "our subsidiaries"). In these Terms, "The Spider Services," "we," "us," and "our" mean The Web Holding Services, LLC and our subsidiaries collectively.
1. Acceptance
1.1 By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
1.2 If you use the Site on behalf of a business, you represent that you are authorized to accept these Terms for that business, and "you" includes that business.
1.3 These Terms cover the Site only. Services we provide to clients are governed by the client's order or statement of work, our Master Service Terms, and the applicable company Service Terms. If those documents conflict with these Terms, they control.
2. Information only; not professional advice
2.1 Content on the Site, including service descriptions, statistics, insights, briefings, and blog posts, is provided for general information only. It is not legal, compliance, financial, or technical advice for your specific situation, and it does not create a client relationship.
2.2 Security threats and best practices change quickly. We try to keep content accurate, but we do not promise it is complete, current, or error-free. Statistics we cite belong to their original sources.
2.3 Prices, packages, and service features described on the Site are not offers. They are subject to a written order or statement of work.
3. Intellectual property
3.1 The Site and its content, including text, graphics, logos, the name "The Spider Services" and the names of our subsidiaries, and the design of the Site, are owned by The Spider Services or its licensors and are protected by copyright, trademark, and other laws.
3.2 You may view, download, and print Site pages for your own internal business reference. You may not copy, modify, republish, distribute, sell, or create derivative works from Site content, or use our names or logos, without our prior written permission.
3.3 Third-party names and trademarks on the Site (for example, Palo Alto Networks) belong to their owners. Their appearance does not imply endorsement or affiliation unless we say so.
3.4 Feedback. If you send us suggestions or ideas, you agree we may use them without restriction or compensation.
4. Acceptable use
You agree not to:
4.1 Test or attack our systems. Scan, probe, test, or attempt to find vulnerabilities in the Site, the status page, our client portals, or any other system of The Spider Services, or attempt to bypass security or authentication, unless you have our prior written authorization. This includes port scanning, vulnerability scanning, penetration testing, fuzzing, and denial-of-service testing. If you believe you have found a security issue, please report it to support@spiderservices.net with the subject "Security Report" and do not access, change, or keep any data. 4.2 Interfere with or disrupt the Site, including by overloading it, sending malware, or using bots, scrapers, or automated tools to access it in a way that places an unreasonable load on our systems.
4.3 Access or attempt to access any account, system, or data you are not authorized to access.
4.4 Use the Site or contact form to send spam, unlawful content, or false or misleading information, or to impersonate any person or business.
4.5 Use the Site in violation of any law or to infringe anyone's rights.
We may block access, report activity to law enforcement, and take other appropriate action if we believe you have violated this Section.
5. Wi-Fi hotspots (planned)
Our Wi-Fi hotspot network is still being built; this Section will apply once hotspots are available. If you connect to a Wi-Fi hotspot operated by The Spider Services, these Terms apply to your use of it. The hotspot is provided free, "as is," without any guarantee of availability, speed, or security, and may be filtered to block malicious or prohibited content. You must not use it for unlawful activity, to access or distribute illegal content, to attack or scan other networks or devices, to send spam, or to consume excessive bandwidth. We may limit, monitor (as described in our Privacy Policy), suspend, or end access at any time. Public Wi-Fi is not a secure environment; use your own encryption (such as a VPN) for sensitive activity.
6. Contact form and communications
Information you send through the Site is handled under our Privacy Policy. Do not send passwords, confidential data, or sensitive personal information through the contact form. Sending a message does not create a client relationship or confidentiality obligation unless we have a written agreement with you.
7. Third-party links and content
The Site may link to or display content from third-party websites and services (for example, social media pages, news feeds, vendor sites, and our payment portal). We do not control them and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.
8. Status page
The status page at status.spider.services is provided for convenience. It may be delayed, incomplete, or unavailable, and it may not reflect every incident or every client environment. It is not a guarantee of availability or performance, and it does not change any service level commitment in a client's agreement. Clients should report issues through the support channels in their agreement.
9. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SPIDER SERVICES AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY HOTSPOT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE AND HOTSPOTS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU. This Section does not limit liability under a client's separate service agreement, which has its own terms.
11. Indemnity
You agree to defend, indemnify, and hold harmless The Spider Services and its members, managers, employees, and contractors from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Site or any hotspot, or your violation of any law or third-party right.
12. Governing law and venue
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought exclusively in the Circuit Court of Wright County, Missouri, or the United States District Court for the Western District of Missouri, Southern Division (Springfield), and you consent to the personal jurisdiction of and venue in those courts. Either party may seek injunctive relief in any court of competent jurisdiction to stop unauthorized access to systems or misuse of intellectual property.
13. Changes
We may update the Site and these Terms at any time. Changes take effect when posted, and the "Last updated" date will change. Your continued use of the Site after changes are posted means you accept them.
14. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to any of our subsidiaries or to a successor. These Terms and our Privacy Policy are the entire agreement between you and us about the Site.
